Panting is a dog's way of getting rid of excess heat. Dog's can't sweat, so they deal with excess heat by evaporating water through their mouths. They get hot for the same reasons as humans - high ambient temperature, physical exertion, and stress.
If it's persistent and/or more of a deep, labored sort of breathing, it might indicate a medical problem, such as heart failure. (Again, same as humans).
