The Governor dies in Season 4 Episode 8, the mid-season finale of The Walking Dead. He launches his massive attack on the prison and before the fight, he executes Hershel. Afterward, The Governor and his group head into the prison with a tank. However, Rick tackles The Governor to the ground and the two engage in hand-to-hand combat. In the end, The Governor beats Rick to a bloody pulp, but is stabbed in the torso by Michonne. After Rick leaves to find Carl and Judith, Michonne leaves The Governor to suffer. At the end of the episode, The Governor's girlfriend Lilly, approaches him and finishes him off with a gunshot to the head.

My theories on who will kill him are: Daryl, Michonne, Tyreese, Karen and maybe Rick. Daryl might be the main guy who I think will kill him because The Governor is the one responsible for the death of Daryl's brother, Merle. Michonne may kill him because The Governor is the one who set up Andrea's death. Tyreese maybe because The Governor killed the whole Woodbury army except Karen and has some unfinished business with him. Karen because of what The Governor did to the Woodbury army. And Rick may be the one, although he does not have as much reasons to kill The Governor as Daryl or the others. But, he did care for Andrea, but not sure about Merle. Rick could kill him, but, you never know. I think out of all the people I predicted, I think Daryl will be the one to kill him. That's my number 1 guess.
