Being in tune is the act of aligning the waves being produced by two different sources. For instance, if two clarinets are playing a "b" and one is sounding at 440 cycles per second and the other at say 444 their waves will not align and as they phase in and out of time with each other this creates the audible phenomenon know as beats.

This is created by the harmonic reinforcement of the waves aligning when they are in tune and the lack of this boost when they are not. The effect creates a sort of wooing in the sound with the changes in perceived volume. The speed of the beats is directly proportional to the amount of distance in pitch between the two instruments. Hence the slower the beating the closer the two are to being in tune, and conversely the faster the beating the further apart they are.

In short being in tune is matching exactly the frequency being produced by another source, and being out of tune is any other scenario.
