it is under the car by the muffler i belive there is only one but thers sould be two i have only found one when i replaced with dual exaust 2 month ago with glasspack and tr to get magna flow converters there 60 instead of 180 and do better

It should be under the passenger seat, under the vehicle. If you can't find it, then it was removed.
It will cause the check engine light to stay on, and may also cause performance issues as the computer tries to adjust the O2 sensor readings to the proper level. Plus it is highly illegal

I do not believe there is such a thing as a tcu. there is an ECM (engine control module), and a TPS (throttle positioning sensor) TCU: Transmission Control Unit. On a Jeep Cherokee (not sure about the Grand Cherokee), it's located on the passenger side behind the dash. You can reach it from the bottom without removing anything, but it is easier of you remove the bottom of the dash.
When facing the engine it's located on the top right hand side of the bell housing, it's very hard to change.

i recently had a diagnostic test done on my 1998 jeep Cherokee sport; 4wd;4.0 L and was told that i have 3: 1 located before the catalytic converter & 2 located after the catalytic converter: i also would like some clarification on the matter because i looked underneath the vehicle and so far have found 2!
