Even though the 14th amendment allowed federal intervention upon things, trusts were mostly private agreements between a board of trustees and member companies, whereas holding companies involved more paperwork and contracting therefore giving it more protection under law as without this contracting no laws / agreements were recorded in order to be broken in the first place (such as in trusts).
