You can't actually 'upgrade' and old ipod touch to a 4th gen. You could sell your old ipod and use the money plus some extra to buy a 4th gen.
There are many ways to jailbreak such as KittyRa1n, RedSn0w and Spirit, however due to how old the 1st generation iPod is, support has completely dropped off and it is more worth it to upgrade to a newer iDevice to jailbreak. You can then get a lot more functionality out of your device.

You don't have to upgrade iTunes, you just can set your ipod touch to a "replacement" even though it's not.

depends what generation it is if its like a first generation and u want it to upgrade to ios.5 well it most likely wont because the software is too old

it all depends on what you want to do with your ipod. if you are looking to jailbreak your ipod touch, i think the first generation is best, only because at the time, apple didnt put such internal security into the ipod to prevent jailbreaking. if you are looking for an ipod to play music and games on, and not experiment with jailbreaks, then by all means, get the newer generation.
