Yes - due to the number of operations per second it's performing, the chip gets very hot. The heatsink attached to it helps to dissipate he heat, and stops the chip from malfunctioning.

Yes, the CPU, or processor, is covered by a heat sink. However, sometimes the CPU can also be covered by a liquid/water cooler.
