The important thing to remember is to Set-up as a new iPod and not restore from back up. The latter will result in the restriction code still being there.

If you know the passcode go to Settings > General > Passcode Lock, then type your passcode, then click "Turn Passcode Off", then re-enter your passcode and it's now off. If you don't know your passcode you have to plug it into a computer with iTunes installed on it and you have to restore it.
The only way is to totaly wipe out all the memory on the ipod. Keep in mind that doing this will make you lose all the progress in all of your games and even if you do sync your ipod, iTunes doesn't remember progress and sometimes it doesn't even remember in app purchases, so be careful!
Open Settings. Go to General. Go to Passcode Lock. Then Reset Passcode
Click on settings on your homepage. go to "General". Then click "Passcode Lock". Put in your passcode. Then when you did that, click on "Change Passcode".

Syncing an iPod to put songs, videos, etc., on it does not reset the password.

I think you are supposed to plug it into your computer with itunes, and it should reset itself.
You cannot reset the password unless you either know the password, or you restore it using your iTunes account.
If u want to reset it then then restore it on iTunes
Often Times you can call apple and show proof that the iPod is yours and they will reset it. If not then you are out of luck. :(
