It is the character that tells Excel you are referencing anotherl worksheet. To refer to Sheet2 while in Sheet1 you put the sheetname followed by the exclamation mark followed by the cell in the worksheet, like this:

As an icon, it is used to refesh the data in a Pivot Table. If some data has changed, you may need to refresh your Pivot Tables to take account of this, as it may effect some of their data. One of the Pivot Table icons is a red excalmation mark, so that is what you click on to refresh your tables.
