Basically, they offer you what they know they can pay for that particular vehicle (or get for it) at a dealer wholesale auction. Their buyers may see a few hundred similar yr/make/model vehicles go past the auction block, and will have a general idea of what they can pay for a particular vehicle. This value range is what they offer, depending upon the condition of the customer vehicle being appraised.
Sorry, personal attachments and "that's less than I owe" doesn't matter - it is not good business sense to offer a customer more money than they could easily pay elsewhere. KBB is nothing more than a good estimating tool for consumers, but no dealer uses it for anything other than to massage customer egos. NADA is generally used by banks to determine LTV. The Black Book is more frequently updated than either KBB and NADA, but even that pales in comparison to the action at a busy dealer auction such as Mannheim.
