The membrane that surrounds a cell is made up of small particles called phospholipids. These have a hydrophilic (attracted to water) head and tow hydrophobic (repelled by water) tails. Since the environment a cell is in is mostly made up of water these automatically arrange themselves to form a layer where the tails are on the inside and the heads form a watertight barrier on the outside. The inner side of this membrane is also like this due to the high concentration of water inside the cell.

Any cell. All cells have membranes that separate them from the outside world. A cell sans membrane isn't as much a "cell" as a "hopeless mess of protoplasm".
