Depending on the policy of the school, brandishing a pocketknife can lead to suspension or expulsion. The student can even be arrested.
Most schools don't allow 12 year old's to have knifes. If your child continues to do this, take the knife away from him. The only reason schools would exclude you for bringing a knife is because most teachers (and students for that matter) do not feel safe with a knife in the classroom.

Concealed weapons are against the law. You can carry a pocket knife as many people do, but something with a fixed blade, a more than three inch long blade, or a speciality knife such as a butterfly or switchblade knife, are against the law (in America anyway).
Knives are not illegal. The problem with bringing a knife to school is that it violates a school rule, not that it violates the law. The police will not bring charges against a minor for bringing a knife to school, but the school administration may inflict some penalty, which could even be expulsion from school, if they have a zero tolerance rule.
