The Sexual themes are only refrences like, "I was drinking lots of ale, and their was the Hostess, that's why they call me "naughty", but not anything that actually describes in detail, a good game.

No. But in my opinion, it should be rated T.
The Reason it was rerated was because the found a peice of code in the game that was left there by an unhappy developer (who was later canned). The code, which requires a downloaded mod to be able to use, makes it so that all of the female characters are topless. Oblivion was origionally rated T because the code was invisible to all testers, and all players of the unmodded game, but because the code is technically in there, it was rerated.

R - restricted to audiences over 17 unaccompanied by a parent or elder guardian.
