You need to clean it off the old processor in case you ever decide to use it again, and you need to apply a little bit to the new processor before you install the heat-sink and fan.
Thermal compound or grease helps disapate the heat from your CPU to where the fan can exhaust it to the outside.
The last thing you want to do is apply grease to a timing belt. If the belt is noisy it needs replacing or the tension-er needs replacing.

If its a 4WD (2WD does not have zerk grease fittings), there are several zerk fittings on both drivelines that need grease every 15k miles. also inspect boots, as I found my front driveline slip joint boot was damaged and needs replacing (fun not!) Grease until you see grease being pushed out of u joints a little. safely put car in neutral and Jackstands and spin driveline to find all of them, there are at least six that I remember.

I am guessing that you are talking about the CPU or another name is the processor. You can replace the fan on the desktop, because that fan might not work correctly or you can have someone who works with computers replace the thermal grease paste compound touching the processor and the heat sink. One more thing you can do is replace or add ram to make the desktop go faster without doing the other steps or if you would like to keep the desktop for a while do all three. Processors don't really go bad, it is usually the components working with the processor.
I assume the grease fittings are contacting the aftermarket wheels. Remove the grease fittings and install plugs in their place.
