Talking to someone doesn't mean that you are getting the other person's full attention, or are aware of the person you're talking to-they could be distracted from your speech, and you wouldn't notice. This is more of a "I need to talk, and you're here, so I'll make do with you.

Talking with someone is much different, as the other person is actually responding and actively listening. When you are talking with someone, it is an involved conversation, where both people are fully engaged in the conversation.
