What is the content an SOP is derived from?
Standard Operating Procedure (SOP) is derived from policy. Command policy in the military, and corporate policy in the workplace. The rules set up the outline and parameters to work within, and the actual operating procedures fill in the gaps. This is *what* we should do (policy), and this is *how* we should do it (procedure). Organizations often forget this, and adopt procedures that later fall apart when a policy is finally implemented or changed.

What is the difference between corporate purpose and corporate power?
Corporate purpose defines the reason for having incorporated, and the corporate power establishes the means by which the corporation carries out one or more of its purposes. For example, a non-profit school corporation is established with the purpose of educating students, and the corporate powers include fund-raising, property ownership, employment contracts and other powers necessary to create and operate a school. It would be beyond the power of the school board to sell (or own) shares of the non-profit corporation to raise money for the lawful purpose, and it would be beyond its powers to do ANYTHING for an unlawful purpose (say, injure a competitor), or any other purpose unrelated to education.
