Darcy was the one who actually found Lydia and Wickham and forced them to marry. Also Darcy's treatment of Elizabeth during her visit to Pemberly was not what she expected and it improved her opinion of him a lot. All this including the fact that she was falling in love with him made her feel so grateful to him.

She is poor and he is rich. In England of the time, that was regarded as a reason for them not to be married, because marriage was a way to form alliances and increase wealth.
