In the UK, you decide on a name, check it isn't already registered at http://www.companieshouse.gov.uk then either register it there directly online yourself, or get a company like this one to do it for you: http://www.registeredaddress.co.uk

You will need a Registered Office for your company. This is the address to which legal documents will be sent from HMRC and Companies House. It can be your home address, although many people use a virtual office or mail forwarding address, as they don't want their home address to appear on the Companies House website.

In the UK, you just need 1 director to form a company. He can live abroad. The registered office needs to be in the UK.

One would need to select up to six names that are indicative of the company, and that this name would not be similar to any other existing business in their respective country. One would then need to apply for their incorporation through a government form, and pay any fees that are associated with doing so. If the formation of the company is unsuccessful, One would need to re-apply and re-pay the application fees. Once the form is approved and returned to the applicant, they have incorporated their company.
