Members of the Phylum Nematoda (worms) are the first animals to have a thing called brain.However, their "brain" or "Central Nervous System" are just comprised of a few ganglion on the cephalic (head) side of the worm, with a few nerves branching out of it.
The first animals to have a well-defined central nervous system are lost in time, way back in the Cambrian - 540 million years ago, but will have looked something like flatworms. Their "brain" consists of two fused anterior ganglia, with a simple "spinal chord" attached, to which connects the peripheral nervous system - in this case simply laterally projecting from the central stem.
Interestingly, more than 95% of the genes involved in the development of this primitive nervous system is also present in humans.
