They are not really for the same thing. Goal Seek is used to find a specific value that makes a formula give a particular result. It gives just one single result. If you have a formula that you need to give a particular result and a value for another cell used by that formula needs to be changed to get that result, then you use Goal Seek to obtain that value. Goal Seek is used to look for a single result rather than to give many results. What-If Analysis has a much broader purpose. It is designed to see what results you get when you use different values for the same set of formulas. It could be doing things like seeing how much profit you can make by paying different pay rates and using different amounts of staff and selling different amounts of products at different prices. So it can be used with many values and many formulas. Goal Seek can be used as part of What-If Analysis.

In Excel 2007, on the Data ribbon tab, click on What-If Analysis in the Data Tools group, and select Goal Seek. In older versions of Excel it is on the Tools menu.
