I have the same identical problem on my 2003 E320. If there is any one with an idea of what might be going on here, please post. That would be greatly appreciated!
Mine was given to me by the used car dealer and I wrote it in the Owners Manual. If you can't find it you may have to go to the dealer.

go to the dealer and have the cabin filters replaced
8 to 8 1/4 quarts of oil if you replace the filter too .

If you don't have the radio code with the manual you will have to go to the dealer and get the radio code.
I have an e320 (98). To access the battery remove the rear seat cushion. If you are disconnecting the battery make sure you put a 12 volt source between the cables. If you don't your radio will be locked up and you will have to go to a dealer to get the code reset.
The sensitivity level is set to high on the vehicle. It should be set to alarm if car is physically touched.
