It will fit, whether it works or not is a different story... If it's desktop memory, it might work, but it will be slower than it is supposed to be, if it's server memory... well... they are really picky...

You wouldn't want to run pc2 4200 with a system that has 1033 Mhz FSB nor would you put pc2 8500 in a system with a 400 Mhz FSB. One will work but slow you down and the other might work or might not but would be a waste of money to buy fast ram for a slow system.
