I may mean that a module governing your transmission is not functioning properly. We had a similar thing happen when the downshifting occurred spontaneously. Replacement of a $350 electronic board solved the problem.
More simply, you probably only need to replace the Vehicle Speed Sensor (VSS). On my Windstar the speedometer would go to 0 and then would not shift out of low, too. This only happened when the sensor got hot; once it cooled it would work normally again...for a while. I replaced the $25 VSS and it has worked fine since.
The overdrive warning light might start flickering when you are driving because of low transmission fluid. This light could also come on because of tension on the transmission while you are towing a boat or trailer.

Customer had a similar problem with a 99 Windstar. Stopped pulling while driving it. Had it towed to me and I replaced the torque convertor. Problem fixed.
