according to ehow.com there is a resistor built into the key and if the value of the resistor in combination with the other ones in your ignition do not match what is stored in your cars database the system will reject the key.
Passkey III is not resistor-based. There is a rfid (radio-frequency id) chip in the black plastic head of the key. When the key is turned to start, the exciter coils in the lock cylinder housing fire the id chip in the key, the theft-deterrent module reads the rf signal and sends a password to the PCM - if the key is recognised the PCM turns the starter and/or fuel pump on and the car starts. If the key is unrecognised or the ignition cylinder is turned without a key inserted (no rfid communication to theft deterrnet module) the PCM disables the starter and/or fuel pump.
You might have to bypass the security system or replace it. GM used the Passkey I, II and III security systems.....bypass kits for these can be found on Ebay and some other car websites.
Supposedly there are bypass modules....some are so that the remote start systems can function with the security system in the car....others are just strictly to bypass the security system intirely. I have seen some websites that sell these modules such as Ebay but there are some more specific car sites that sell them too. I have read a few things on this recently and it looks as though GM has used the Passkey I, II and III systems. The year, make and model of the car depends on what system was used and what type of bypass you will need.

If the speedometer and odometer are both not working, I would blame the speed sensor. If only the speedometer does not work and the odometer does work, the cluster is bad.

The official documentation says:If you are prompted for a passkey, enter "0000" (for added security), or choose no passkey. This mouse will not work with any other passkey.
