It depends if you want to change it once you are in, or if you want to completely reset everything. To just change the password, go to the settings and then to general. Then go to Password Lock and just put in your current password, and you can turn it off or anything like that. But if you want to completely reset the iPod because you can't get in to it, then hook it up to your computer and click the restore button*.
*Just so you know, restoring your ipod will mean that everything is taken off of it, so anything that was not on iTunes before will have to be bought again.

Enter your 4-digit passcode. If it is not your iPod Touch, do not attempt to hack it, since hacking is illegal in most places. If it is your iPod, you have to restore it through iTunes if you forgot the passcode.
I had this problem except I knew the code, but it froze and would not let me connect to itunes. What you are going to have to do is reset your ipod, which will make you lose everything, but it will work. To reset connect to itunes.

When ur iPod says it's locked with a passcode it means u went to ur settings and put a passcode on it so when u lose ur iPod and somebody finds it they can't see all ur stuff unless they go on the computer and hack it

When speaking about iPod Touches, 'passcode' and 'password' are two synonyms for the same meaning. 'Passcode' is used more often, though.
You need to restore it if you forgot the passcode, and it's not jailbroken.
