You can make a copy for your own use however, assuming the movie in question is still under copyright protection, you cannot make copies and distribute them to others. Remember "Out of print" is not necessarily the same as "out of copyright" or public domain.
It's just a remake. I don't remember what year the original movie was released in.

They both have fictional aspects but the actual sinking of the ship was more accurate in "Titanic". When "A Night to Remember" was made in 1958, it was not known that the ship had broken in half while sinking.
