The difference is simple - Two different programs created by two different companies.
UTAU came after Vocaloid. While the programs do the same thing the characters are different (For example, Miku Hatsune is a Vocaloid and Teto Kasane is a UTAU) and if you try loading a UTAU into the Vocaloid program it won't work.
UTAU is basically fan-made vocaloids. The better made they are, the more popular. But these vocaloids sound more robotic. Vocaloids like Neru and Haku and just higher and lower versions and Rin and Miku. They are classified as UTAU because they are fan-made, but have clearer voices because they are from official vocaloids. Utauloid's and Utau are similar to the Vocaloid program and characters.Utau is the free version of program Vocaloid. It allows the user to either take a premade voicebank, or to create their own Utau using voiceclips. The program is available for download and tutorials on how to do so as well as how to work it can be found on YouTube and other sites. Simply googling 'Utau Program Download' will point in the right direction. However, as it is a free program, the voices available for use are not as nice and polished as the Vocaloid's voicebanks. But since Vocaloid can run up to over $100 to buy, many choose to go with Utau.As such, an Utauloid is an approved Utau voicebank, which has it's own website and character art. A few recognizable Utauloids are Kasane Teto, Kasane Ted, Momone Momo and Defoko. While it is possible for anyone to make their own Utauloid, the Utau wiki will only acknowledge those with the fore mentioned prerequisites (A website where the voicebank may be downloaded, character art and possibly a few other things that I can't remember at this time.)Done! =3

UTAU is a singing program same as VOCALOID, Cantor, etc. UTAU is a free voicebank that you can download and it's sang by a coumputer.

Teto's character item is, apparently, french bread. Note that Teto Kasane is not a Vocaloid, but an Utauloid for the free singing synthesizer UTAU. Since the Vocaloid and UTAU communities are closely related, Teto and other UTAUloids have many fans within the Vocaloid community and its not surprising to see many songs featuring Teto or other UTAUloids singing alongside their Vocaloid counterparts.

Utau means Diva. And also there is a voice synsecier(forgot spelling) named UTAU. But the voice synsecier is free unlike Vocaloid. ~ Utau means sing. And yes, there is a program called UTAU. It's kind of like Vocaloid, but yes, it's free. It's also very confusing to use and I have yet to find a just English version. All the ones I've seen require a lot of confusing work. But hey, I don't think you're even asking about UTAU, so yeah.
