In one of the last episodes he had to make himself vulnerable to attack in order to create the Program that would stop XANA forever.
When he did so, one of XANA's Manta's shot him down... killing him.
So Franz Hopper died.
But in doing so he stopped XANA "forever".
But now that Code Lyoko might have a Season 5... we don't know for sure if that's final.
But that's what happened so far.
