What are the many differences between the 2 different ing groep stocks - ing group igk 8.50 pref perpetual hybrid capital securities and ing group isf 6.375 perpetual hybrid capital securities?

These are different hybrid securities offered by ING at different interest rates (based on initial $25 basis price) at different years. The 8.5 for example is a more recent offering and released in 2008 when they had to offer a higher rate to be competitive. Both of these are trading today (8/27/2009) at a far lower price than their $25 redemption value so the yield is signficantly higher. If for example the 8.5 (IGK) went to a price of 12.5 it's yield would be 17%. The trick with these hybrid securities unlike regular bond debt is that a. the are junior to bond debt so in the event of a collapse the senior bond holders would get paid first. b. also if ING feels paying the dividend would put it in financial risk or they are forced to not pay by the governments (that helped bail them out) then they can defer the dividend payment indefinitely. Interest would accrue on the defferal but under some circumstances may not need to be paid. c. unlike bonds that get paid off at face calue at a time certain, these hybrid securities are perpetual and can go on forever. ING has the option to redeem on a certain date but not mandatory.

These different hybrid securities also pay their dividends at different dates on the calendar. Read prospectus for exact pay dates and ex-div dates. Their might also be some subtle differences between issues (other than pay dates and div %) so read prospectus to be certain. The research I have done has shown most of them to have similar terms of payment/deferral/etc.

Banks count on this sort of debt to bolster their books. If they choose to forego interest payments it signifcantly impacts their ability to credibly make more offerings like this in the future. One can surmise that they will want to conitnue making payments so long as they can otherwise this sort of ability to raise capital will be shortlived. However certain analysts believe that the EU is pressuring ING to not make these div payments until they have paid off bailout money first. Time will tell, but ING has not missed a payment on any of its hybrid securities yet. They are obligated to notify the public of any plan to defer payment at least by the ex-div date of when a dividend is about to get paid.

If ING's books are healthy enough one can intellegently guess that this is a dividend obligation they will continue to make. Some protections of the dividend are also in place, for example ING cannot pay a dividend on the common stock unless it has paid the dividend on the hybrid securities. Even if they are forced to defer temporarily, if they ever make money again the deferred payments and interest would still be due. These investments are not for the faint of heart. The returns can be big, however definitly not a sure thing.

Full disclosure - I have traded in and out of IGK over the last couple of months. Initially attracted by the oversized dividend, the best returns have actually been on appreciation of the stock itself.
