When Square Soft created the first final fantasy, they were going bankrupt; hence the name 'final' fantasy. The game was such a hit that the company made it out of bankruptcy and continued the series.

He is not the same person. Although they have share the same name, they are two totally different "people". Like most FFXII espers, it draws it's name from one of the previous FF Villains, in this case. The emperor from FFII.
