The fish hasgills that they use to filter from the water the oxygen they need to as you say "breath" ,so when you put them on land there gills are not working anymore by filtering the water for oxygen because there is no water it's as you know just air (oxygen) so there gills are still trying to work but there is no water to filter oxygen for them.
Yes, Fish can breath out of Water. This has just been tested by the university of California. They have discovered that Fish now have a new gill called AK15 which makes it possible for a fish to breath out of water. This does not mean they cant breath in water, they still can. A lot of people will say "but when my fish goes out of water it dies cause it doesn't have water to breath!" this is false. All a fish needs is to be spraid with water to stay alive out of water because it needs to be moist.
