I'm 95% certain that it will. I have had three different Explorers (all 3rd generation: 02 - 05) and the stereos have been interchangable. To be 100% sure, call your local Ford dealership and ask for the parts department. They should be able to give you the right answer.

Pull the cover around the radio and heating system off... start at the top and pry it off. Do this gently but you need to pull pretty hard... It has 6 clips I believe.. 2 on top middle and bottom... then just unscrew the 2 screws at the bottom of the radio and it will slide right out. Just did this on my 2003 Explorer. Hope that helps!
