No - fungi are eukaryotic. Eukaryotic organisms have a nucleus and membrane-boun organelles. Fungi have these - and so are not prokaryotic.

No, a fungus has eukaryotic cells. It has a cell wall made of chitin and has a nucleus containing straight (linear) DNA. It is bacteria which have prokaryotic cells.
