The human brain is larger.

The positioning of the hind brain is different, due to the erect position of humans.

Convolutions are increased in humans (increases surface area).

The sheep's brain has a smaller cerebellum (lesser motor control/less complex learned motor behaviors).

There is a larger pineal gland in sheep (related to circadian rhythms/seasonal reproduction).

Many people are saying that they are pretty much the same, only highlighting the difference in size. However, the question is not about the size of the cerebellum. Proportionally, the sheep's olfactory bulbs are larger than the human's are. This is because the sheep rely more on their sense of smell than the humans do.
