It will if the 400 Trans. is for a 4-wheel drive. 2 and 4 wheel drive transmissions are different. The center shaft that runs through the transmission on 4-wheel drives are longer so the transfur case will slide up on it.
The transfer case will not bolt to a 2wd transmission.

you can adjust the front band by the large nut on top of trans --just loosen the nut and turn the bolt-- you need to drop the trans pan to adjust the rear band--the rear adjusting bolt is under the trans filter....... good luck Steve

On top of the Trans. It's very easy to change, one bolt and unplug the wire.
its on the passenger side of the trans, towards the back of it. just take the bolt out and it should pop out.

As long as the 302 is from a similar year it will bolt right in. The only difference between the 289 and 302 is the 302 has a slightly longer stroke.
of depending on the transmission if you have the 4 spd electronic automatic trans there are two, an output sensor which is located under the battery box on the left side of the shift linkage and the input sensor is right under the trans cooling lines right of the shift linkages! if you have a non electronic trans, the speed sensor is located on the backside of the trans and has three wires and atached to the tranny with a single bolt! hope this helps
