No…. It is not necessary to replace the fly wheel but, it is recommended that the fly wheel be "turned" to create a new surface for the new clutch pack. (Much in the same way you resurface a disk or drum for new brake pads or shoes.) In the event that you don't have a machine shop in your area, a good emery cloth rubbed in a spiral motion on the fly wheel to knock the "glaze" off should suffice.
The most common way is to support the engine from above, drop the frame under the engine and trans-axle, remove the transmission and clutch. Replace flywheel and reassemble.

You'd have to replace the computer with one for a manual trans car. You might have to swap the entire firewall as well as fabricating brackets for manual trans components that are missing on a auto car. The cost would be high enough it would make more sense to sell your auto car and purchase a manual one.
