The catalytic converter is located about mid-car inline with the exhaust piping. Identifiable by it's heat shield. Jack up and secure the car on jackstands. Under the car you will see the exhaust piping goes into an elongated diamond shaped contraption. This has flanges on both ends that can be unbolted (the bolts often times are spring loaded) and the new catalytic converter be installed. Remember to replace the gaskets.

The oxygen sensor that typically fails is attached to the exhaust manifold, just above the headpipe. It looks a little like a sparkplug, and has an electrical connection. The OTHER oxygen sensor is behind the catalytic converter.

The primary Oxygen sensor is screwed into the exhaust manifold at the point where all 4 chambers dump into the headpipe. It's the only component on the exhaust manifold that's connected to wiring. There should be a second oxygen sensor after the catalytic converter, but they seldom fail.
