It's attached to the catalytic converter, which is part of the exhaust system, to prevent grass fires in tall grass or fields. It's located under the car about midway between the front and rear wheels.
The heat shield on the engine is located on the front of the engine over the exhaust manifold. It is on top of the engine just behind the radiator.

On the Ford A4LD automatic transmission the modulator valve is on the passenger side of the transmission ( it might be behind a heat shield )
