Well it could mean that he has a girlfriend and it could also mean that you and him are good friends and he doesn't want to break that by asking you out and then if for any case that you and him break up then you don't have a relationship or really a friendship.I guess it depends on how you look at it.

This information could give clues as to why the person tells you that he likes you but fails to ask you to go out with him. If both of you are young then perhaps he finds you attractive and would like to ask you out but he is too shy, bashful and afraid of the possibility that you'll reject him to do so.
If you are both older then perhaps he has some things that are going on in his life at the moment that prevent him asking you at this time. These things could include the fact that he already has a relationship, but other, less problematic, reasons are also possible. These could include a sick family member, problems or extreme work load involving his job or previous commitments to spend his free time with his friends.
Regardless of what underlies his reasons you will probably discover them in time and this discovery will give you the insight you need to decide your best course of action.
