With every new operating system, some products will need new drivers. You will need to hook up to a different modem to download the proper driver for your modem on Windows 7. You will probably get it from Asus.

You can continue with the upgrade. However, you will not have the modem available to the system after the upgrade. You can see if the hardware manufacturer has produced drivers for the modem for windows XP. The HCL (Hardware Compatibility List) isn't always up to date. If you cannot find any drivers your only real option is to buy a new modem if you want to use XP.
