I had the same problem on my 1999 Omega V6. It was looked at by several people and no-one could seem to find the reason for it happening. In the end, I removed the accelerator cable (which includes the kickdown switch for the auto box, located near the bulkhead), and took apart and cleaned the kickdown switch (the small rectangular black box) This solved the problem completely. I would suggest that if cleaning does not work, then the cable (including kickdown switch) be replaced. Hope this helps P.S. You are asking two separate questions. The transmission has a cable,mechanical, kickdown. The distributor does not have a vacuum advance.

Basically elliminate ALL electronics. no speedo, odo, who knows what else. run a throttle cable, kickdown, probably even rewire the key switch. rebuild the 97
Check the transmission neutral switch or the connection to it. The neutral switch is on the lower left side, beside the kickdown rod. There is also a connector in the wiring harness on the right side of the engine, at the rear of the right side valve cover. If the neutral switch isn't functioning for any reason, the symptoms will be exactly what you described. I once did some engine work on my 88 Maxi and forgot to connect the neutral switch in the harness, so I speak from sad experience...;-)
