Personally i think X men will win.
Magneto can easily take down basically anyone with metal in their arsenal ie. Iron Man, captain America, Black Widow, hawkeye etc... and Emma frost can take down anyone who has a mind really (not sure about the hulk) and with Cyclops, Juggernaut, Ice man, Storm and all the other x - men backing those two up they are an unstoppable force

Difficult to say, but the Avengers have an ace in the hole with Hulk. Nothing can defeat Hulk. The more resistance he meats, the more force brought against him, the angrier and stronger he gets.
