You can open an eps file in either Photoshop or Illustrator, it helps to know if it is raster (use Photoshop) or vector (use Illustrator).
Open PSD file in Photoshop then go to File > Save As. In Save As dialog choose from Format drop down list at bottom of dialog: Photoshop EPS.
Basically what PS is saying is : I see that this is a eps file but the data in the file tells me it isn't. Then Photoshop gets all mad and doesn't want to play with you anymore. You will not have any problem when you are doing like that. However, the problem may be arising only when you increase or decrease the size of a character. But I am not sure how to tackle that situation. I am expecting the solution for that too.
