Napoleon saw after the slave revolt on Haiti that France would never be capable of occupying and defending that large North American property without major expenditures for an Army of Occupation and a massive navy capable of protecting it in two oceans. It was unlikely that France would ever be able to afford this colony. It was time for him to cut his losses if he was going to continue the War in Europe. Since selling that land to the US would greatly offend the UK it had a special appeal that he could not resist.
Napoleon was planning, i think, to build an empire in america. he was in Europe fighting his war though. Napoleon decided to offer america money for it because he needed it to keep fighting (not sure how much money he offered) and Jefferson decided to buy it
