Windows 95 and 98 is based on the Windows 4.x Kernel. Windows 2000 and XP is baed on the NT Kernel. XP sports a different GUI compared to 95982000, this is the main difference between windows 2000/98 and XP.
Windows XP has many security features that Win 98 does not, the most important is the ability to encrypt your files so that no one can access them with out the proper keys. XP is much more stable and less prone to crashes. I did not say it will not crash, just that it happens less frequently than 98.

You can install XP at 98 direct. Means there is no requirement to format 98. Go into your computer's BIOS and set the master boot device as the CD ROM drive. Insert the winxp disk and restart. From the screen that appears you should be able to format the Hard drive, convert the file system from FAT32 into NTFS, and install windows XP.

in my humble opinion there are no difference for personal user except the huge file space, any way SP3 made some hotfix and some security update you can choose what you need from MS windows update center ( I choose Hotfix only )
