In the bottom corners of the carpeted part of the panel are two screws that are almost unnoticeable and if you don't get them the panel will break. After making sure all the screws are out, there are posts that hold it into place. You have to basically go around the bottom of the panel and reach behind it to get these posts to pop out. It is not easy to get these out, especially if the grand Cherokee is older. Once all the screws and posts are out, it should simply fall right off.
