I'll give a fairly simple example: Let us say Alpha Drug Company decides to launch a hostile tender offer for Bravo Drug Company. Bravo Drug is currently trading at $20 per share. The day before they announce the offer, Alpha's board of directors each buy $1 million worth of Bravo stock. The day after the offer is announced, Bravo's stock goes to $40, and the Alpha directors dump it. They have enriched themselves at the expense of the people who bought the stock from them. Alpha and Bravo, OTOH, haven't been affected one bit.

Where can I get a list of companies with two share classes?

I found the answer to my own question. If the first six digits of a stock's CUSIP number are the same as another then they are the same company but different share classes. So if you can download a list of stock tickers with their CUSIP's and sort in a spreadsheet you should be able to identify the majority of dual share class stocks. However, if anyone knows an easier way please share. Thanks!

What are preferred shareholders?

Preferred shareholders are the people who own a company's preferred stock. Corporations can issue several types of stock. If there are profits, the corporation the corporation may pay dividends. The company would pay the same amount to each share of stock. However, the company may have issued two types of stock, preferred and common. Preferred stock gets a percentage of the face value as a dividend say 5%. Common stock gets a percentage of the profits that are left. So if a person has a $100 share of preferred, and the company declares a dividend, the preferred shareholders are paid first. He gets his $ 5.00 first. He is a preferred shareholder. The rest of the dividend is divided among the common shareholders.

So Preferred Shareholders get paid first. Their dividend will never go up. It will go down if the company does not pay its dividend.

The National Stock Exchange (NSE), located in Bombay, is India's first debt market. It was set up in 1993 to encouragestock exchange reform through system modernization and competition. The instruments traded are, treasury bills, government security and bonds issued by public sector companies.
