The correct timing for a Mercruiser 3.0L 140 engine is 6 degrees BTDC. for a Mercruiser 120 the correct timing is 8 degree BTDC.

yes it will. chevy V8 engines all shared the same bell housing bolt pattern. you may need to replace the flywheel though as 454 were usually externally balanced where 350 was internally balanced.
