It depends, but usually it just means that your good friends with him. If he has a gf then it could mean he wants to brake up with her for you.

If she knows, it most likely will open up a new side of her (if she likes you that is) which she might want to talk to you more, become shy around you or laugh at almost everything you say even if its not funny.
